What is a limited liability corporation

What is a limited liability corporation?

A limited liability corporation is just another name for a limited liability company. A limited liability company, which is also called an LLC, is a business499058_f260 structure that combines the pass through taxation of a partnership or sole proprietorship with the limited liability of a corporation.

Like the owners of a partnership or sole proprietorships the LLC owners have to report their business profits or losses on their personal income tax returns because the LLC is not a separate taxable entity. But unlike these owners if you own an LLC you are not personally responsible for the business debts and claims, you are protected from any personal liability unless you have given a personal guarantee, this is what is known as limited liability. Basically what this boils down to is that if somebody sues the LLC then only the assets of the business itself are at risk, your personal assets are considered safe. But what you want to keep in mind is that you can lose this protection of your assets if you act illegally, unethically, or irresponsibly.

But it is because of these features that many people say that a limited liability company is nothing more than a hybrid business structure that takes the best features of a partnership and a corporate business structure. Meaning this business structure combines these two forms of business, but only uses the best features from each form.

How many people do I need to form an LLC?

Many people wonder how many people you need to form a LLC because of the fact that it combines various business structures. The good news is that you only need one person to form an LLC and you can form an LLC in any state. But you can also have more than one owner when forming an LLC.

Who should form an LLC?

If you are concerned about personal exposure to lawsuits or debts arising from your business than you should seriously think about forming an LLC. A great example of this would be if you were opening up a store front business that deals directly with the public you might be worried about your commercial liability insurance not fully protecting your assets from customers suing you from slipping and falling or something else. So by forming an LLC your personal assets are protected from these types of claims and any others.

But something that you want to keep in mind before you decide to form an LLC is that not all business can operate as an LLC. Businesses that are in the banking, trust and insurance industry are generally prohibited from forming LLC?s in every state. Also in some states, including CA, there is a rule that prohibits professionals, such as accountants, doctors, architects and other professionals from forming an LLC. So if you are considered to be some kind of professional you want to check into your state laws to see if you can form an LLC or not.

This is going to vary depending on which state that you live, but for the most part this is a pretty universal process. All that you really need to do is to file an ?Articles of Organization? with your state?s LLC filing office. In most states this filing office is going to be a part of the Secretary of State?s Office. But in addition to filing the ?Articles of Organization? you are going to have to pay a filing fee. Keep in mind that some states refer to these forms as a ?Certificate of Organization? or a ?Certificate of Formation?. But no matter what it is referred to most states will provide a fill in the blank form for you to use and these only take a few minutes to prepare. You can get this form by mail or by downloading it from your state?s website, in the Secretary of State or corporation?s home page.

Some states will also require you to publish your intention to form an LLC in your local newspaper. The states that require this also require that you complete this step before you file your Articles of Organization. Some states, but not very many, will also require you to prepare an LLC Operating Agreement. And even if it is not required in your state it is still a good idea to prepare one. The reason that you want to do this regardless of your state requirements is because your Operating Agreement is going to spell out your business arrangements and it will also decide how your LLC is run. If you fail to create a written Operating Agreement then the LLC laws of your state will dictate how your LLC is run.

Do I need a lawyer to form an LLC?

The good news is that you do not need to have a lawyer to form an LLC, but if you want to use one you can. The reason that you don?t need to hire a lawyer is that the information that is required for the Articles of Organization is all non-technical information so it is easy enough for you to fill out on your own. Basically what the Articles of Organization include are the name of the LLC, the location of its main office, the names and addresses of the owners, and the name and address of the LLC?s registered agent. The registered agent is a person or company who agrees to accept legal papers on behalf of the LLC. Not to mention that since most states now provide downloadable forms and instructions the process to file for an LLC is even easier and the LLC offices even allow business owners to email them questions directly.

This is not required by all states, but it is something that you should do if you plan on starting a business. Here are the main reasons why an operating agreement is necessary:

  • Ensures that the courts will respect your personal liability protection because you are showing them that you have been conscientious about organizing your LLC
  • Helps to avoid misunderstandings among the owners over finances and management
  • Sets out the rules that govern how the profits will be split up, how major business decisions will be made, and the procedures for handling the departure and addition of members
  • Allows you to create your own operating rules rather than being governed by the default laws in your state. Which these state laws might not work to your benefit

How are LLCs taxed?

LLCs are not considered a separate entity from its owners for tax purposes. So this means that an LLC does not pay any income taxes itself. Instead what happens is that the owners of the LLC pay taxes on their allocated share of profits or they get to deduct their share of business losses on their personal tax returns. But the thing with an LLC is that you can choose how you want it to be taxed, so you can also choose to have your LLC taxed like a corporation. This can be useful because it can reduce taxes for LLC owners who need to retain a large amount of profits in the company.

Can I convert my existing business to an LLC?

The good news is that yes you can convert your business to an LLC. In fact converting a sole proprietorship or a partnership is an easy way for the business owners to protect their personal assets without changing the way that their business income is taxed. And some states even provide a simple form for converting a partnership to an LLC; this form is usually called a ?Certificate of Conversion?. If your state does not provide this form then you will need to file regular Articles of Organization to create an LLC.

And just like in forming an LLC some states require a partnership to publish a notice in the local newspaper that the partnership is being terminated before the partnership can officially convert to an LLC. But no matter what state you live in you are going to have to transfer all identification numbers, licenses, and permits to the name of your new LLC. Some other things that you will need to transfer over are:

  • Federal identification number
  • State employer identification number
  • Sales tax permit
  • Business license or tax registration
  • Any professional licenses or permits

The biggest difference between an LLC and a partnership is that in an LLC the owners are not personally liable for the company?s debts and liabilities. What this boils down to is that creditors cannot go after the owners? personal assets to pay off the businesses? debts. And the only way that this can happen in a partnership is if the partner is designated as a ?limited? partner in the partnership agreement. Another big difference is that when you are forming a partnership you do not need to file any formal paperwork or pay any special fees.

Official: Turkey talking to jailed Kurdish leader

ANKARA, Turkey (AP) ? Turkey is holding talks with the Kurdish rebels' jailed leader to press the autonomy-seeking guerrilla group to relinquish arms and end its decades-long conflict, a senior official was quoted as saying on Sunday.

Prime Minister Recep Tayyip Erdogan's chief adviser, Yalcin Akdogan, insisted in an interview with Taraf newspaper that the discussions were aimed at convincing the Kurdistan Workers' Party, or PKK, to lay down its arms for good. He said Turkey was not seeking any kind of a temporary truce, similar to those the PKK has declared in the past and which critics say allow the group to recoup before resuming attacks on Turkish military targets.

"The basic aim of the meetings is not a temporary ceasefire but to push the organization to put down its arms," Taraf quoted Akdogan as saying.

Akdogan's comments came days after Erdogan also said Turkey's intelligence agency has resumed discussions with rebel leader Abdullah Ocalan, who is serving a life term on a prison island off Istanbul. "As long as we see a light we'll continue to talk. If there is no light, we'll stop there," Erdogan said, without providing details on the discussions.

Turkey ? which has been torn between a desire for reconciliation with Kurds and its stated aim of battling a group it regards as terrorists ? has admitted holding secret discussions with Ocalan and other PKK members in recent years. Officials have said those talks failed.

The conflict has claimed tens of thousands of lives since the rebels ? who are seeking self-rule for Kurds in southeast Turkey ? took up arms in 1984. Turkey's Western allies also label the group a terrorist organization. The Kurdish minority comprises more than 20 percent of Turkey's 75 million people.

The resumption of talks with Ocalan comes amid a surge in violence this year which has killed hundreds of PKK rebels, Turkish security force members and civilians.

Ocalan, imprisoned since 1999, is believed to still hold sway over the PKK. Last month, at Ocalan's request, hundreds of Kurdish prisoners ended a hunger strike they had started to demand more rights for Kurds and improved jail conditions.

Erdogan's government has granted unprecedented rights to Kurds since coming to power in 2002, including opening a Kurdish-language television station and allowing optional Kurdish language courses in schools. But prospects of a solution appear remote due to Turkish public opposition to granting greater concessions, including political autonomy, to the Kurds.

The recent increase in violence follows the arrests of thousands of Kurdish activists, including elected mayors and journalists, who are accused of membership in an umbrella organization prosecutors say is linked to the PKK. Many Kurds also are angered that no one has been held to account for military air strikes last year that killed 34 Kurdish civilians, many of them youngsters, who were mistaken for PKK fighters.

Georgia's Aaron Murray wants first bowl win, then he'll think about senior year or NFL Draft

ORLANDO ? Between bowl practices in Athens and at Celebration High School near Disney World, Georgia quarterback Aaron Murray got a chance for some down time back home in Tampa.

He stayed sharp by throwing some passes back at his old stomping grounds, Plant High School, and watched plenty of films of a different sort, including the just released Judd Apatow comedy ?This is 40.?

?That was a great movie, hilarious, my parents loved it,? Murray said. ?I think every night we watched a movie just at the house. Just chilling. We had a good time.?

The redshirt junior quarterback also spoke some with his parents about his future. He is weighing whether to return for his senior season or enter the NFL Draft.

?We sat down a little bit and talked about it,? Murray said of what he said was about a 10-minute discussion. ?It was mostly my parents doing the pros and cons. I?m just sitting there watching TV as they talked about it. We talked about it a little bit, but I told them I mostly want to focus on this game and talk about it more when I get home after the game.?

While Alabama quarterback AJ McCarron made a quick decision to return for his senior season, Murray said he still wants to put some more time between the 32-28 SEC title game loss to the Crimson Tide and making his decision.

He also wants to discuss it more with Georgia coach Mark Richt and offensive coordinator Mike Bobo after Tuesday?s Capital One Bowl against Nebraska.

Coaches usually spend plenty of time in the lead-up to a bowl game talking about what the next step in a player?s development might be, but Bobo begged off doing that with the media on Murray and declined to discuss any conversations the two have had about the NFL.

?Right now, I want to see him finish off strong this year and get a bowl victory, something that he hasn?t done and our team hasn?t done in two years,? Bobo said.

Murray completed 20-of-32 passes for 288 yards with two touchdowns, two interceptions and a lost fumble in a 33-30 triple-overtime loss to Michigan State in the Outback Bowl last season and was 21 of 38 for 198 yards with no touchdowns and two interceptions in a 10-6 loss to Central Florida in the Liberty Bowl in 2010. He was sacked a combined seven times in the two games.

?Both of them were tough,? Murray said. ?The first one, we had a chance at the end of the game to drive down the field and score. We didn?t do that. The other one, the triple-overtime loss definitely stunk. Both of them were pretty tough. I?m just hoping to get a win so we finally get a bowl win, finish the season off with a win and have a great offseason from there.?

A comment like that might sound like Murray plans to be a part of leading that offseason for Georgia.

Tight end Arthur Lynch, Murray?s roommate, hasn?t changed his view that Murray is likely to return.

?If I could guess, I would say he wants to stay,? Lynch said.

Lynch said he thinks Murray?s projection from the NFL underclassman advisory committee on where he might go in the draft will be a factor. Murray said he?s still waiting on that.

If Murray returned to Georgia, he?s on pace to set SEC career records for completions, passing yards and touchdown passes. He currently has 678 completions, 9,644 passing yards and 90 touchdown passes.

?Playing against him the last few years at Tennessee, Murray?s been able to make some big-time throws,? said Nebraska secondary coach Terry Joseph, who spent the previous two years on the Volunteers? staff.

The last time Georgia played in the Capital One Bowl, at the end of the 2008 season, its quarterback got questions about the NFL, too.

Michigan State reporters quizzed Matthew Stafford about his thoughts of possibly playing for the Detroit Lions.

Stafford became the No. 1 overall pick when he was indeed drafted by the Lions. He was a slam dunk to go.

The 6-foot-1, 210-pound Murray isn?t.

Outlook: It?s not a playoff game, but it might as well be one for Cowboys quarterback Tony Romo.?

For Robert Griffin III, it's his first opportunity to prove he?s capable of winning on the grand stage.

Fair or not, that?s how it works in the NFL: quarterbacks receive a disproportionate amount of praise (or blame) for their team's outcome in big games.

Two days from now, Romo will be looking to shed a label while Griffin will be seeking to earn one. The rookie is undefeated since the bye, but Sunday?s contest, under the lights, in prime time, will be by far the most important moment of his football career.

?If you play big on a big stage, people tend to write good things about you,? Griffin said. ?We all want to play well on the big stage or in a prime time game or in a game like this that comes down to the division. It?s like a conference championship game in college, but it just happened to play out this way that the last game of the year is a championship game. And we have to win this championship.?

Bomb at Egyptian-run church in Libya kills 2

Egypt's Foreign Ministry says an explosion at an Egyptian Coptic church in Libya's third largest city, Misrata, has killed two people and wounded two others.

The statement by the Foreign Ministry says Sunday's explosion killed two Egyptian citizens working at the church in preparation for traditional New Year's Eve mass.

Egypt's ambassador visited the church in the coastal city after the attack and urged Libyan security forces to ensure the property is guarded.

A Libyan security official says the deadly attack was caused by a bomb made from an explosive material that typically requires a detonator. The official spoke on condition of anonymity because the incident is still under investigation.

Tens of thousands of Egyptian workers have returned to work in Libya following last year's civil war, despite security dangers.

More serious earthquakes predicted in the Himalayas

Dec. 28, 2012 ? A research team led by scientists from Nanyang Technological University (NTU) has discovered that massive earthquakes in the range of 8 to 8.5 magnitudes on the Richter scale have left clear ground scars in the central Himalayas.

This ground-breaking discovery has huge implications for the area along the front of the Himalayan Mountains, given that the region has a population density similar to that of New York City.

NTU Professor Paul Tapponnier, who is recognised as a leading scientist in the field of neotectonics, said that the existence of such devastating quakes in the past means that quakes of the same magnitude could happen again in the region in future, especially in areas which have yet to have their surface broken by a temblor.

Published recently in Nature Geosciences, the study by NTU's Earth Observatory of Singapore (EOS) in Singapore and colleagues in Nepal and France, showed that in 1255 and 1934, two great earthquakes ruptured the surface of the earth in the Himalayas. This runs contrary to what scientists have previously thought.

Massive earthquakes are not unknown in the Himalayas, as quakes in 1897, 1905, 1934 and 1950 all had magnitudes between 7.8 and 8.9, each causing tremendous damage. But they were previously thought not to have broken the earth's surface -- classified as blind quakes -- which are much more difficult to track.

However, Prof Tapponnier said that by combining new high resolution imagery and state of the art dating techniques, they could show that the 1934 earthquake did indeed rupture the surface, breaking the ground over a length of more than 150 kilometres, essentially south of the part of the range that harbours Mt Everest.

This break formed along the main fault in Nepal that currently marks the boundary between the Indian and Asian tectonic plates -- also known as the Main Frontal Thrust (MFT) fault.

Using radiocarbon dating of offset river sediments and collapsed hill-slope deposits, the research team managed to separate several episodes of tectonic movement on this major fault and pin the dates of the two quakes, about 7 centuries apart.

"The significance of this finding is that earthquakes of magnitude 8 to 8.5 may return at most twice per millennium on this stretch of the fault, which allows for a better assessment of the risk they pose to the surrounding communities," said Prof Tapponnier.

Prof Tapponnier warns that the long interval between the two recently discovered earthquake ruptures does not mean people should be complacent, thinking that there is still time before the next major earthquake happens in the region.

"This does not imply that the next mega-earthquake in the Himalayas will occur many centuries from now because we still do not know enough about adjacent segments of the MFT Mega-thrust," Prof Tapponier explains.

"But it does suggest that areas west or east of the 1934 Nepal ground rupture are now at greater risk of a major earthquake, since there are little or no records of when last earth shattering temblor happened in those two areas."

The next step for Prof Tapponnier and his EOS scientists is to uncover the full extent of such fault ruptures, which will then allow them to build a more comprehensive model of earthquake hazard along the Himalayan front.

Woman charged in connection with fatal NY firefighter shootings

Authorities announce a second person has been arrested and charged in connection with the shooting deaths of two firefighters in Webster, NY.

Updated: 4:58 p.m. ET: An upstate New York woman was arrested Friday and hit with?federal and state charges connected to the fatal shootings of two volunteer firefighters on Christmas Eve.

The woman, Dawn Nguyen, 24, was charged with knowingly making a false statement in the purchase of guns used in the slayings,?U.S. Attorney William Hochul told a news conference Friday. She was charged earlier on a state violation of filing a falsified business record.


Hochul said Nguyen bought the guns on behalf of William Spengler, 62,?who shot four firefighters responding to a fire he had started in his home on Monday outside Rochester, N.Y., killing two of them, before killing himself.

Nguyen "told the seller of these guns, Gander Mountain in Henrietta, that she was to be the true owner and buyer of the guns instead of William Spengler," he said. "It is absolutely against federal law to provide any materially false information related to the acquisition of firearms."

The complaint alleges that Nguyen acted as a "straw purchaser" for Spengler, who, as a convicted felon, could not legally own, acquire or purchase any firearm, Hochul said. The charges are related to an AR-15-type semiautomatic rifle and a 12-gauge shotgun ? two of the three weapons found near Spengler's body Monday, according to State Police Investigator James Sewell.

Hochul said that a suicide note left by Spengler "includes information about obtaining the guns" from Nguyen.

The third weapon, a .38-caliber revolver, was not connected to Nguyen, Sewell said.

William Spengler, in a 2006 photo, who authorities say set a house and car on fire on Christmas eve in Webster, N.Y. and then shot and killed two firefighters, and wounded two others who responded to the blaze.

The Rochester Democrat and Chronicle reported that Nguyen was arrested Friday afternoon at the home in Greece where she has been staying with her mother, Dawn Welsher.

Greece is about 5 miles north of Rochester and 2 miles west of Webster, where Spengler lived.

Nguyen's lawyer, Dave Palmiere, told the newspaper that Nguyen bought the weapons legally and that they had been stolen. He said Nguyen didn't recall whether she reported the guns stolen.

Welsher told the Democrat and Chronicle that neither she nor her daughter, Nguyen, gave or sold Spengler the weapons.?

"This is nuts," she said, according to the newspaper. "I never supplied this man with nothing. My daughter never supplied him with anything. He's setting us up."

The federal charge carries a maximum penalty of ten years in prison a $250,000 or both, The Associated Press reported.

Spengler spent 17 years in prison for killing his grandmother in 1980.

After Monday's attack, a body was also discovered in Spengler's burned home.?Investigators?have said they believe the remains are those of his sister, Cheryl Spengler, 67, who lived with him. In all, seven houses were destroyed in the blaze.

UN envoy says Syrian collapse threatens region

MOSCOW (AP) ? The United Nations envoy for Syria warned on Saturday that the country's civil war could plunge the entire region into chaos by sending hundreds of thousands of refugees into neighboring nations, but his talks in Moscow produced no sign of progress toward settling the crisis.

Lakhdar Brahimi and Russian Foreign Minister Sergey Lavrov both said after their meeting that the 21-month-old Syrian conflict can only be settled through talks, while admitting that the parties in the conflict have shown no desire for compromise. Neither official hinted at a possible solution that would persuade the Syrian government and the opposition to agree to a ceasefire and sit down for talks about a political transition.

Brahimi, who arrived in Moscow on a one-day trip following his talks in Damascus with Syrian President Bashar Assad this week, voiced concern about the escalation of the conflict, which he said is becoming "more and more sectarian."

The envoy warned that "if you have a panic in Damascus and if you have 1 million people leaving Damascus in a panic, they can go to only two places ? Lebanon and Jordan," and those countries may not be able to endure half a million refugees each.

Brahimi said that "if the only alternative is really hell or a political process, then we have got all of us to work ceaselessly for a political process."

Russia has been the main supporter of Assad's regime since the uprising began in March 2011, using its veto at the U.N. Security Council along with China to shield its last Mideast ally from international sanctions.

Lavrov said Russia would continue to oppose any U.N. resolution that would call for international sanctions against Assad and open the way for a foreign intervention in Syria. And while he again emphasized that Russia "isn't holding onto Bashar Assad," he added that Moscow continues to believe the opposition demand for his resignation as a precondition for peace talks is "counterproductive."

"The price for that precondition will be the loss of more Syrian lives," Lavrov said.

He said Assad is refusing to step down, adding that "there is no possibility to change that stance."

Both Brahimi and Lavrov insisted that efforts to end the civil war must be based on a peace plan that was approved at an international conference in Geneva in June.

The Geneva plan calls for an open-ended cease-fire, a transitional government to run the country until elections, and the drafting of a new constitution. But it was a non-starter with the opposition because of Russia's insistence that the plan leave the door open for Assad being part of the transition process and the fact that it didn't mention possible U.N. sanctions.

Brahimi said that while some "little adjustments" could be made to the original plan, "it's a valued basis for reasonable political process."

With the opposition offensive gaining momentum in Syria, there is little hope that the initiative would have any more chance of success than it had when it was approved.

Lavrov has said that Moscow is ready to talk to the main Syrian opposition group, even though it had earlier criticized the United States and other Western nations for recognizing the Syrian National Coalition for Opposition and Revolutionary Forces as the legitimate representative of the Syrian people.

On Friday, coalition leader Mouaz al-Khatib rejected the Russian invitation for talks and urged Moscow to support the opposition's call for Assad's ouster. Lavrov said Saturday that al-Khatib's statement was surprising after his earlier contacts with Russian diplomats in Egypt during which the opposition tentatively agreed on a meeting in a third country.

Lavrov said the coalition leader should "realize it would be in his own interests to hear our analysis directly from us."

Lavrov rejected the opposition claim that Russia's continuing weapons supplies to Assad's regime make it responsible for mass killings in Syria, saying that Moscow bears no responsibility for the Soviet-era weapons in Syrian arsenals. He said that defensive weapons such as anti-aircraft missiles that Russia has continued to supply to Damascus couldn't be used in the civil war.

"We aren't providing the Syrian regime with any offensive weapons or weapons that could be used in a civil war," Lavrov said. "And we have no leverage over what the regime has got since the Soviet times."

Georgy Mirsky, a leading Mideast expert with the Institute for World Economy and International Relations, a top foreign policy think tank, said President Vladimir Putin's stand on Syria is rooted in fear that joining international calls for Assad's resignation would make him look weak at home. "It would look like an inadmissible concession to America, a virtual surrender. The Kremlin would lose its face, look like a loser," said Mirsky.

He wrote in his blog that Putin is resigned to Assad's eventual collapse and the loss of any Russian influence in a future Syria, but firmly opposes international sanctions. That stand allows Putin to tell his domestic audience that Russia has defended its ally until the end against overwhelming odds, said Mirsky.

It began with a silly tweet, and it turned into a meme. University of Michigan professor and economist Justin Wolfers started the hashtag #FedValentines on Feb. 10, just ahead of Valentine?s Day on Feb. 14, to joke about the monetary easing measures he?d like to see Ben Bernanke and the Federal Reserve adopt.

Bernanke and his team put what?s commonly called ?Operation Twist??selling short-dated Treasurys to buy long-dated bonds and push down long-term interest rates?into motion in September 2011.     Definitely NOT audio but worth a discussion... Lately i've been into hidden networks. Had a laugh in TOR for a bit... I know it goes deeper in this world and I want to discover. Any experiences in other simmilar quests? What should one be studying and what should one avoid? Anyone up for a discussion on the matter? Public or private dont be afraid ;)

    Love TOR, it helps me to circumvent my ISP's blockage to the pirate bay and other sites that do share legal torrents as well.
    Luckily my ISP doesn't block torrent packages yet (but i guess they will be sued by audience using Steam etc. (Steam uses torrent for their game distribution).
